LOAN ACQUISITION PROCESS FOR COMPANIES

1. Overview 

This document outlines the formal loan acquisition process applicable to prospective borrowers seeking financing through the Provider. The Provider offers structured, instrument-backed financing solutions designed primarily for large-scale corporate, project,Mining, Oil & Gas Companies and institutional borrowers with financing requirements of EUR 100,000,000 (One Hundred Million Euros) and above.

2. Loan Programs Offered 

The Provider offers two (2) principal financing structures, each supported by a Standby Letter of Credit (SBLC) issued by the Borrower’s local bank: 

(a) Lease Purchase SBLC  Program 

● Minimum Facility Size: EUR 100,000,000 

● Security Structure: Lease Purchase SBLC  

● Guarantor: The Borrower’s local bank or financial institution

● Obligation of Guarantor: 

○ The local bank shall issue an irrevocable, transferable, and monetizable Lease Purchase SBLC  in favor of the Provider as collateral for the loan. 

○ The SBLC must be issued in accordance with ICC Uniform Customs and Practice (UCP 600) or relevant banking standards acceptable to the Provider. 

(b) Asset-Backed Standby Letter of Credit (SBLC) Program

  • Minimum Facility Size: EUR 100,000,000
  • Security Structure – Asset Coverage Requirement: The financing facility is secured through an asset-backed collateral structure, whereby the underlying asset value pledged as security must be equivalent to a minimum of ten (10) times the principal loan amount.

For example, for a EUR 100,000,000 financing facility, the borrower must demonstrate and pledge eligible assets with a verified minimum valuation of EUR 1,000,000,000.

  • Guarantor: The Borrower’s local commercial bank or recognized financial institution.
  • Obligation of the Guarantor: Conduct due diligence and validation of the borrower’s pledged assets.

Legally secure and control the collateral assets under its custody or security arrangement.

Issue an Asset-Backed Standby Letter of Credit (SBLC) in favor of the Financing Provider, confirming that the pledged assets sufficiently collateralize the credit facility.

Technical Validation of Asset Base:
For mining companies or natural resource–based borrowers, the borrower is strongly encouraged to provide independent, internationally recognized technical verification of the asset base supporting the collateral structure.

Preferred technical reports include:

  • uncheckedNI 43-101 or NI 51-101 Technical Report – Mineral Resource and Reserve Report valued at ten (10) times the loan requested. 
  • uncheckedJORC Code – Mineral Resource and Reserve Estimated at ten (10) times the loan requested.
  • uncheckedOther internationally accepted geological or reserve certification standards

These reports provide independent confirmation of the existence, grade, quantity, and economic viability of the mineral resources, thereby strengthening the credibility and bankability of the pledged collateral assets.

3. Loan Tenor and Repayment Terms 

● No upfront fees 

● Loan Tenure: 25 years 

● Interest Rate: 1% per annum 

● Moratorium Period: 5 years (grace period on principal repayment) ● Repayment Structure: 

○ No principal repayment during the first 5 years 

○ Commencement of minimum annual payments after the moratorium period

 4. Initial Documentation Requirements 

Prior to formal application assessment, the Borrower must submit: 

(I). Letter of Intent (LOI)

  • A formal Expression of Interest (EOI) from a recognized financial institution shall be accompanied by a copy of this Offering and duly addressed to Maec Capital ltd sent to mrgold2000@gmail.com. 

(II). Business Plan

  • Project value: Up to EUR 5,000,000,000
  • The plan should outline: financial projections, risk analysis, revenue model, project timeline, and management structure.

(III). Client Information Sheet (CIS)

  • Providing full corporate details, including directors, shareholders, beneficial owners, and relevant financial background.

(IV). Written Confirmation of Lease Purchase SBLC Issuance Capability

The Client shall provide Email confirmation from its financial institution or bank addressed to the clients CEO confirming that the institution is capable and willing to provide or issue a Lease Purchase SBLC with a face value of EUR 100,000,000 (One Hundred Million Euros) in support of the proposed financing facility.

5. Post-Approval Process 

Upon preliminary approval of the application: 

a. Execution of NDNCA (Non-Disclosure, Non-Circumvention Agreement) and Commission Agreement

  • The NDNCA (Non-Disclosure, Non-Circumvention Agreement) shall be shared, reviewed, duly executed, and exchanged by all relevant parties in advance of the transaction.
  • A separate Commission Agreement shall be executed by the relevant parties to clearly define and secure the agreed commissions payable upon successful completion and disbursement of the financing facility.
  • Commission Structure: The agreed commissions shall be deducted directly at source by the financial institution from the loan proceeds upon disbursement, as follows:
    • 6% payable to the designated institution(s); and
    • 2% payable to the authorized intermediaries representing both the Borrower and the Lender.

b. Issuance of Full Term Sheet 

○ The Provider will issue a comprehensive term sheet outlining all commercial, legal, and financial terms of the loan facility. 

c. Issuance of Contract and Disbursement

The Provider will issue the financing contract for review and execution by all relevant parties. Following issuance of the bank’s RWA (Ready, Willing and Able) confirmation and submission of the required SBLC, the loan/facility is expected to be granted within 30 days, typically within approximately 21 working days, subject to completion of all compliance and documentation requirements.
